Terms of Use

Providence Health & Services, its affiliated entities and its and their affiliates (collectively, “Providence”) operate a system of hospitals, physician clinics, home care and other health care providers, a health plan and associated services in the states of Alaska, California, Montana, New Mexico, Oregon, Texas and Washington. In order to better serve its patients and beneficiaries and to help educate individuals and the general public about health care and medical issues, Providence makes available as a convenience to you the Providence websites and applications, including but not limited to: Providence.org, Swedish.org and the Providence and Swedish mobile applications (collectively, with any future websites, features and applications, “Sites”), which contain information and interactive tools, including, but not limited to, information about our facilities, services, healthcare providers, healthcare topics and events, as well as tools for online appointment scheduling, registration, payment and AI-assisted site navigation (collectively, “Services”).

The following Terms of Use (these “Terms of Use”) set forth the general rules and policies governing your use of the Sites and Services. BY ACCESSING THE PROVIDENCE SITES AND SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO ABIDE BY THESE TERMS OF USE AND CONSENT TO OUR SEPARATE PRIVACY POLICY. Depending on your activities when visiting the Sites or Services, you may be required to agree to additional terms and conditions. If you do not agree to be bound by these Terms of Use, consent to our Privacy Policy or agree to such additional terms and conditions (as applicable), please do not access or use the Sites or Services.

Please note that these Terms of Use and linked policies only apply to the Sites and Services that reference these Terms of Use. Providence may provide links to third-party websites that are not operated by Providence. These linked websites are made available on or through the Providence Sites or Services only for your convenience and you, therefore, access to them is subject to separate terms and conditions and at your own risk. Providence users who visit third-party websites from the Sites and Services must recognize that our Terms of Use and other policies do not extend beyond the borders of the Providence Sites or Services. Other standards and policies may apply outside our Sites and Services. We encourage you to read the terms of use, privacy policies and other policies that apply to these third-party websites before using them. We may gain access to information made available via such linked websites. You are responsible for restricting access to information obtained via linked websites using the available controls on such third-party sites and platforms.

For members of Providence Health Plan, Providence offers personalized, interactive tools to help you manage your health care through the myProvidence site. These features, including Providence Health Plans (“PHP”) Member Services and Providence Doctor’s Office Services, require separate enrollment and are subject to additional policies and terms. You may review these by visiting the myProvidence registration page. Please read these Terms of Use carefully. PLEASE READ THESE TERMS OF USE CAREFULLY PRIOR TO USING THE SITES OR SERVICES, AS THESE TERMS FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND PROVIDENCE.  THESE TERMS OF USE CONTAIN IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS RELATING TO THE SITES AND SERVICES, AS WELL AS VARIOUS CONDITIONS, LIMITATIONS AND EXCLUSIONS OF LIABILITY, INCLUDING IN SECTION 10, AND A MANDATORY ARBITRATION CLAUSE IN SECTION 11.  BY AGREEING TO THESE TERMS OF USE, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, WHICH MEANS THAT YOU WAIVE ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY, AND THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS OR REPRESENTATIVE ACTIONS. SOME JURISDICTIONS DO NOT ALLOW SUCH LIMITATIONS, SO SOME OF THE FOLLOWING PROVISIONS MAY NOT APPLY TO YOU. 

We encourage you to review these Terms of Use regularly as you use the Sites and Services, as these Terms of Use are subject to change as set forth in Section 5.

1. Information and services available through the Providence Sites and Services

A variety of information and services are made available through the Sites and Services, including:

  • Educational information, including links to informative third-party websites.
  • Information and news about Providence services, health care providers and facilities and health plans.
  • Information about Providence events, activities and classes, including online registration.
  • Information about and applications for career and employment opportunities with Providence.
  • Online appointment scheduling and registration for care at Providence hospitals.
  • Access to and submission of requests for medical records.
  • Online payments.
  • Information about Providence point of care options.
  • Ability to make donations.

2. Personal information collection and use

Providence understands that the privacy of your personal information is important. For information about cases in which personal information may be collected by Providence, and details about how that personal information is collected and used by Providence, through the Providence Sites and Services please review our Privacy Policy. It is a condition of your use of the Providence Sites and Services that all the information you provide on the Providence Sites and Services is correct, current and complete. You agree that all information you provide to register with the Providence Sites and Services or otherwise provide to Providence is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

Please note that with respect to your protected health information (“PHI”) that is subject to the Health Insurance Portability and Accountability Act (“HIPAA”) and that is created, received, maintained or transmitted by Providence health care providers, such information is governed by separate Notices of Privacy Practices that describe how your PHI may be used and disclosed and your rights with respect to your PHI. Please reference the Providence Health & Services Notice of Privacy Practices.

3. User responsibilities

Providence Sites and Services are intended to help you be a better-informed health care services user and get access to Providence information and services easily, but we need your help to make it work well. The Providence Sites and Services are intended for use by adults and those over the age of 13 with their parent or guardian’s permission. By using our Sites or Services, you acknowledge and represent that you are 18 years or older or that you are the parent or guardian of such a minor above the age of 13 and consent to such minor dependent's use of the Providence Sites or Services. We also need you to be responsible for doing your part to protect your personal information, and to understand that the educational information, tools and materials made available through the Providence Sites and Services are not and do not include medical advice and are not designed or intended to address your personal health condition or issues. Providence reserves the right to disable any username, password or other credentials, at any time in our sole discretion for any or no reason, including if, in our opinion you have violated any provision of these Terms of Use.

You therefore must be responsible for the following:

3.1. Be an Informed User

Please read these Terms of Use carefully. We need your help in making the Providence Sites and Services safe and effective and to protect them against misuse. Your violation of these Terms of Use is grounds for suspension or termination of your account or your right to use the Providence Sites and Services. We have the right to determine whether there has been a violation of the Terms of Use and have the right to determine the action that will be taken in response to a violation, including, but not limited to, legal proceedings.

3.2. Maintain and Protect Your Own Equipment

Providence Sites and Services are intended to be accessible and all content available through all standard commercial web browsers operating on standard personal computers, through standard commercially available Internet access. The quality of content presentation and download speeds may vary depending on the software, equipment and Internet connections used.

You may be able to use devices other than a personal computer to access the Providence Sites or Services, such as some personal digital assistants, cell phones or other devices. If you do choose to use another kind of device to access the Providence Sites or Services, you must be responsible for protecting it in accordance with these Terms of Use. Any requirement for personal computer protection in these Terms of Use applies equally to any other device you may use to access the Providence Sites or Services.

  • Providence does not provide any software, equipment or Internet connections. You are solely responsible for providing all software, computer equipment and other hardware, and Internet connections necessary to access the Providence Sites or Services.
  • Some features on the Providence Sites and Services, such as the Career Advancement Center and Health & Fitness class registration, allow you to create an online account. Your personal computer may store and automatically upload your username and password for account access. You may also download information from the Providence Sites or Services to your personal computer or other devices. If someone else uses your personal computer or other devices, they may be able to use these functions to gain access to your account or personal information. Providence cannot prevent or be responsible for protecting your personal computer or other devices against unauthorized use. You are solely responsible for protecting the personal computers or other devices you use against unauthorized use to access your account.
  • If you use a personal computer or other device provided by or shared with your employer, parent, spouse, roommate or other person, that other party may have the legal right to view all information stored on it. Providence cannot prevent or be responsible for such activities. If you use a personal computer or other device that another person has the legal right to control, you access your Providence account at your own risk.
  • Whenever you are done using the Providence Sites or Services you should log off and you should not leave your computer or other device unattended when it is logged on to the Providence Sites or Services because someone else may be able to view the screen or use the computer or other device. If you leave a session logged-in when someone else can see your computer screen or use your personal computer or other device they may be able to gain access to your account or personal information. Providence cannot log you off your personal computer or device or protect your personal computer or device against unauthorized access.
  • Computer viruses, worms, spyware and other malicious software on your computer or device can be used to gather passwords and personal information from that computer or device, often without the user’s knowledge. Providence cannot prevent or be responsible for detecting or removing malicious software on computers or devices you use to access the Providence Sites or Services. Affordable antivirus and antispyware software is readily available for personal computers and devices. You should maintain and regularly use current antivirus and antispyware software on any personal computer or device you use to access the Providence Sites or Services.
  • Unauthorized individuals, hackers and malicious software can sometimes gain access to computers through Internet connections, though use of a firewall may help to avoid some unauthorized access. Unauthorized access of this kind may not be easily detected and may allow passwords and personal information to be gathered without the computer user’s knowledge. Providence does not provide and cannot be responsible for implementing a firewall for your computer. Firewall software is standard on many personal computers and affordable firewall software for personal computers is readily available. You should maintain a working firewall on any computer you use to access Providence Sites or Services.
  • Computer criminals may sometimes send e-mails that appear to come from legitimate organizations. These e-mails typically ask you to log on to a website using a link in the e-mail, and enter some personal information to “verify,” “correct” or “update” your account, or something similar. This practice is known as “phishing,” and is intended to get personal information from unwary users to use for identity theft and other fraud. Please be careful when interacting with e-mails and links if you have any reason to believe the e-mail and link does not actually come from Providence. If you receive any suspicious e-mail which claims or appears to be from Providence, please notify us by calling the Providence Integrity Line at 1-888-294-8455.

3.3. Protect Your Password

Access to your account and to personal information about you is password-protected. If your password is easy to guess, or if you share your password or someone else sees or steals it, someone else may be able to get access to your account. Please use a strong password and protect it from other people.

Providence relies upon your password in allowing access to your account and cannot prevent unauthorized access if your password is compromised. You are responsible for all activity taking place under your password unless we have been notified that it is compromised. Please notify us at once if you believe your password has been compromised, and we will help you change it. You can contact us about possible password compromise at the Providence Integrity Line, 1-888-294-8455.

3.4. Do Not Provide Third Party Services

You are not permitted to use the Providence Sites or Services to provide or support informational, educational, messaging or other services to other parties. The information and services made available by and through the Providence Sites and Services are for your personal use only.

3.5. Do Not Distribute Copyrighted Materials for Commercial Use

We own and reserve all rights to the Providence Sites and Services and our trademarks, logos and tradenames referenced in the Providence Sites and Services. The Providence Sites and Services and all information and content contained therein are protected by contract law and various intellectual property laws, including domestic and international copyright laws. Most of the information and materials made available by and through the Providence Sites and Services is copyrighted and owned by Providence or other parties. You may use this information and materials only for your own personal use. You may not sell or modify any information or materials obtained from Providence or reproduce, display, distribute or otherwise use such information or materials in any way for any public or commercial purpose. Use of information or materials obtained from Providence on any other website or in a networked environment is prohibited. You must retain all copyright and other proprietary notices contained in the original information or materials on any copy you make of such material. Nothing in these Terms of Use creates or confers any license or right under any copyright, trademark or other proprietary interest in the Providence Sites or Services or any third party’s linked websites. We accommodate and do not interfere with standard technical measures used by copyright owners to protect their materials.

3.6. Do Not Abuse Providence Sites and Services

Providence Sites and Services are provided for your convenience and educational use. In order to keep these services working efficiently and appropriately, you are not permitted to:

  • Use any other person’s username or password to access the Providence Sites or Services.
  • Use the Providence Sites or Services or any information or material obtained from the Providence Sites or Services for any purpose that is unlawful or that is prohibited by these Terms of Use or in a manner that violates federal, state, local or international law or regulation, or generally accepted practices or guidelines in relevant jurisdictions (including any laws or regulations regarding the export of data or software to and from the United States or other relevant countries).
  • Use the Providence Sites or Services in any way that could damage, disable, overburden or impair the Providence Sites or Services or interfere with any other party's use of the Providence Sites or Services, including deleting, modifying, hacking or uploading files that contain viruses, corrupted files or other similar software or programs or otherwise attempting to disable, damage, impair or interfere with the proper functioning of the Providence Sites or Services or another person’s computer.
  • Modify, translate, create derivative works of, copy, distribute, market, display, remove or alter any proprietary notices or labels from, lease, sell, sublicense, clone, transfer, decompile, reverse engineer, scrape or incorporate into any information retrieval system (electronic or mechanical), the Providence Sites or Services, or any portion thereof (except that your computer or other device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials, and you may store files that are automatically cached by your web browser for display enhancement purposes).
  • Attempt to gain unauthorized access to any information, documents, records, accounts, devices, systems or networks connected to Providence through hacking, password cracking, IP spoofing or any other means.
  • Restrict or inhibit anyone else from using the Providence Sites or Services.
  • Harvest or otherwise collect information about other individuals, including e-mail addresses and personal information.
  • Impersonate another individual or give the impression that content comes from Providence or is endorsed by Providence, if that is not the case.
  • Use the Providence Sites or Services to defame, harass, threaten or impersonate another person, send unsolicited commercial communications or otherwise violate the legal rights of any person.
  • Transmit any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable.
  • Transmit any sexually explicit or pornographic material, or any discriminatory material based on race, sex, religion, nationality, disability, sexual orientation or age.
  • Promote any illegal activity, or advocate, promote or assist any unlawful act.
  • Link to, frame or use any trademark, logo or other proprietary information on the Providence Sites or Services without Providence’s express written permission.

4. Health and medical educational information

Providence Sites and Services are used to publish information and tools about health issues and general medical care options to help educate users and increase public awareness. Some of these tools and information are provided by parties other than Providence, and Providence may provide links to third-party websites or incorporate such tools and information into the Providence Sites and Services for this purpose.

4.1. Information and Tools Are Not Medical Advice or Personal Health Information

All tools, information and links to information provided by or through the Providence Sites or Services are for educational purposes only or for the purpose of providing information about point of care options. You are responsible for your understanding and use of all such information.

INFORMATION PROVIDED BY OR THROUGH PROVIDENCE IS NOT DIAGNOSTIC OR MEDICAL ADVICE, OR A SUBSTITUTE FOR DIAGNOSTIC OR MEDICAL ADVICE. IF YOU ARE SEEKING INFORMATION BECAUSE YOU BELIEVE YOU OR ANOTHER PERSON HAS OR HAVE A SPECIFIC MEDICAL CONDITION, PLEASE CONTACT YOUR HEALTH CARE PROVIDER. While Providence seeks to provide information which may be helpful in understanding your own health care needs and issues, none of the educational information, classes, events or activities available through the Providence Sites or Services was or will be developed for you personally. If you want or need information related to your personal health condition, please contact your health care provider.

4.2. Information and Links are Not Necessarily Endorsed

The fact that information is published or is in a link provided by Providence does not mean that the views and opinions expressed therein are necessarily shared by Providence. Providence is a ministry of the Roman Catholic Church and does not recommend, endorse or promote any medical procedures or interventions that are prohibited by the Ethical and Religious Directives for Catholic Health Care Services. Providence seeks to link only to trustworthy, valuable websites, but provides website links for your convenience only. A link to a website does not constitute an endorsement of the linked site, its content or any party affiliated with the linked website. Providence makes no warranties or representations, express or implied, about the accuracy, completeness, currency, relevance, appropriateness or availability of any linked site, the information contained in them, or any products or services they offer. Providence shall not be liable, directly or indirectly, for any damages, losses or harm incurred in connection with the use of a linked website.

4.3. Information and Tools Are Not Guaranteed

While Providence seeks to provide useful, high-quality information and tools through the Providence Sites and Services, Providence cannot guarantee that any information is accurate, complete, current, error-free or free of viruses, worms or other malicious software. All information and tools are provided “as is,” without warranties of any kind, express, implied or statutory, including but not limited to warranties of title, non-infringement, fitness and suitability for any particular purpose.

4.4. Jurisdictional Limitation of Use

Providence Sites and Services originate from, and are intended for use in, the United States. The Providence Sites and Services are currently intended for use by persons in such jurisdictions and not persons in any “Member States” of the European Union. We do not seek “Personal Data” subject to the General Data Protection Regulation. Providence does not claim that any tools, information or materials on the Sites or Services are appropriate or may be used outside of the United States. Access to tools, information or materials may not be legal by certain persons or in certain countries. If you access the site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

5. Changes to terms of use

Providence reserves the right to change these Terms of Use from time to time in its sole discretion with or without notice to you.

All changes will be effective when published unless a different effective date is specified. Your continued use of the Providence Sites or Services after we have posted a change to these Terms of Use will be considered your consent to the change. In the event of any revisions to the arbitration provisions in Section 11, you may opt out of such revisions as set forth in Section 11.

6. Services availability and limitations

The Providence Sites and Services may be interrupted from time to time for maintenance, repair, upgrade or other activities, due to technical problems, or due to natural disaster or other emergency. In addition, Providence is not responsible for and cannot control the availability of third-party communications services necessary to connect to the Providence Sites or Services.

7. Intellectual property

The Sites and Services are subject to protection by intellectual property and proprietary rights as described in these Terms of Use. You acknowledge that Providence and its licensors own all right, title and interest in and to the Sites and Services, including in all software, algorithms, processes, models, text, content, graphics, images, names, logos, trademarks, audio, video, tables, displays and compilations included in the Sites and Services. In addition, any feedback, suggestions, ideas, notes, concepts and other information you provide Providence relating to the Sites and Services (collectively, “Feedback”) will be considered non-confidential and non-proprietary to you. You hereby grant Providence a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable (through multiple tiers), transferable license to freely use and exploit such Feedback for any purpose without any compensation, notification or attribution to you.

As between you and Providence, you own all right, title and interest in and to the data and information you submit to the Sites and Services. You hereby grant Providence a non-exclusive, worldwide, sublicensable (through multiple tiers), transferable license to use such data and information to provide the Sites and Services to you and, if such data and information is used in an aggregated manner that does not identify you, to improve the Sites and Services and any of our other products and services.

Providence may collect and create Usage Data through the Sites and Services and may receive and retain such Usage Data for its own use for any purpose, including product development, system improvement (including machine learning and algorithm and model training), data analytics, data science, other research and development and user support. As between you and Providence, Providence owns and controls all rights in Usage Data, any compilations of Usage Data, and any algorithm or other computational results derived from Usage Data. “Usage Data” means data we collect or create regarding your use of, and interaction with, the Sites and Services, including: (a) your location, frequency and duration of interactions with the Sites and Services; (b) the manner in which you use, customize or interact with the Sites and Services; and (c) any data or information submitted by you that we aggregate and anonymize, such that it does not readily identify you or any third party.

8. Digital millennium copyright act provisions

Owners of copyrighted works who believe that their rights under U.S. copyright law have been infringed by a use of Providence may report an alleged infringement to Providence by following the relevant provisions of the Digital Millennium Copyright Act of 1998 (the "DMCA") rights, by sending Providence’s authorized agent a notification of alleged infringement that satisfies the requirements of the DMCA. Upon receipt of a satisfactory notice of alleged infringement Providence will promptly investigate the allegations, and respond appropriately, including removal of or blocking access to allegedly infringing content.

  • 8.1. If you are affected by the removal or blocking of allegedly infringing content which you in good faith believe has been removed or blocked in error, you may send a counter notification to Providence. Upon Providence’s receipt of a counter-notification that satisfies the requirements of DMCA, Providence will provide a copy of the counter notification to the person who sent the original notification of alleged infringement and will follow the DMCA's procedures with respect to a received counter notification.
  • 8.2. DMCA notifications of alleged infringement and counter-notifications may be sent to Providence Health & Services, Department of Legal Affairs, 1801 Lind Avenue SW, Suite 9016, Renton, WA 98057-9016.
  • 8.3.Providence will not be a party to any disputes or lawsuits regarding alleged copyright infringement.

9. Consents to electronic communications

You consent to receive electronic communications to the email or phone number you provide to us, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing. Marketing messages require separate consent; you can opt out anytime. Carrier rates may apply to any electronic communications.

10. Disclaimers and limitations of liability

PLEASE NOTE THAT, WHILE WE TAKE REASONABLE STEPS TO PROTECT THE PRIVACY AND SECURITY OF CONFIDENTIAL PERSONAL INFORMATION THAT YOU SEND TO US THROUGH THE PROVIDENCE SITES AND SERVICES, BY ITS VERY NATURE, NO WEBSITE OR APPLICATION CAN BE ABSOLUTELY SECURE AND PROTECTED AGAINST INTENTIONAL OR MALICIOUS INTRUSION ATTEMPTS. FURTHERMORE, WE DO NOT CONTROL THE DEVICES OR COMPUTERS OR THE INTERNET OVER WHICH YOU MAY CHOOSE TO SEND CONFIDENTIAL PERSONAL INFORMATION AND CANNOT, THEREFORE, PREVENT INTERCEPTIONS OF OR COMPROMISES TO YOUR INFORMATION WHILE IN TRANSIT TO US. THEREFORE, WE MAKE NO GUARANTEE AS TO SECURITY, INTEGRITY OR CONFIDENTIALITY OF ANY INFORMATION TRANSMITTED TO OR FROM OR STORED ON OUR SITES OR SERVICES. WE CANNOT AND DO NOT GUARANTEE THE ABSOLUTE SECURITY OF ELECTRONIC COMMUNICATIONS OR TRANSMISSIONS SINCE ANY TRANSMISSION MADE OVER THE INTERNET BY PROVIDENCE OR ANY INDIVIDUAL RUNS THE RISK OF INTERCEPTION. YOU ASSUME THE SOLE RISK OF TRANSMITTING YOUR INFORMATION AS IT RELATES TO THE USE OF OUR PROVIDENCE SITES OR SERVICES, AND FOR ANY DATA CORRUPTIONS, INTENTIONAL INTERCEPTIONS, INTRUSIONS OR UNAUTHORIZED ACCESS TO INFORMATION, OR OF ANY DELAYS, INTERRUPTIONS TO OR FAILURES PREVENTING THE USE OUR PROVIDENCE SITES OR SERVICES.

THE SITES AND SERVICES MAY INCORPORATE ARTIFICIAL INTELLIGENCE (AI) ENABLED AGENTS. BY USING THE SITES AND SERVICES, YOU CONSENT TO YOUR CONVERSATIONS BEING RECORDED OR TRANSCRIBED AND BEING SHARED WITH THIRD PARTIES FOR THE PURPOSES DESCRIBED IN THESE TERMS. YOU ACKNOWLEDGE THAT: (I) PORTIONS OF THE SITES AND SERVICES MAY RELY ON ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING TECHNOLOGIES, WHICH ARE RAPIDLY EVOLVING; (II) GIVEN THE PROBABILISTIC NATURE OF THESE TECHNOLOGIES, USE OF THE SITES AND SERVICES MAY, IN SOME SITUATIONS, RESULT IN OUTPUTS THAT DO NOT ACCURATELY REFLECT REALITY; (III) THE SITES AND SERVICES AND ANY OUTPUTS OF THE SITES AND SERVICES MAY BE INCOMPLETE, OUTDATED OR INACCURATE; (IV) THOUGH WE MAY USE SAFETY FILTERS TO REDUCE HARMFUL OR UNSAFE CONTENT, THESE MECHANISMS MAY NOT BE ERROR-FREE; (V) YOU SHOULD NOT RELY ON THE SITES OR SERVICES FOR ANY MEDICAL DIAGNOSIS OR TREATMENT; (VI) THE SITES AND SERVICES MAY NOT REFLECT THE VIEWS OF PROVIDENCE; AND (VII) IF THE SERVICES REFERENCE ANY THIRD PARTY OR THEIR PRODUCTS OR SERVICES, SUCH REFERENCE DOES NOT CONSTITUTE ANY EXPRESS OR IMPLIED ENDORSEMENT BY, OR AFFILIATION WITH, PROVIDENCE.

THE SITE AND THE SERVICES ARE PROVIDED "AS IS," WITH ALL FAULTS, WITH NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. YOUR USE OF THE SITES AND THE SERVICES IS VOLUNTARY, AND AT YOUR OWN RISK.

TO THE GREATEST EXTENT PERMITTED BY LAW, PROVIDENCE’S LIABILITY TO ANY PERSON FOR ANY CLAIMS, LOSSES, DAMAGES, HARM OR COSTS ARISING FROM OR PERTAINING TO THE USE, OPERATION OR FUNCTIONING OF THE PROVIDENCE SITES OR SERVICES, WHETHER ARISING FROM OR PERTAINING TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR ANY OTHER LEGAL THEORY SHALL NOT INCLUDE ANY INDIRECT, SPECIAL, INCIDENTAL, NON-ECONOMIC, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO DELAYS, LOSS OF DATA, INTERRUPTION OF SERVICE, LOSS OF PRIVACY, REPUTATIONAL OR PHYSICAL HARM), EVEN IF PROVIDENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF, FOR ANY REASON, PROVIDENCE IS FOUND TO BE LIABLE UNDER THESE TERMS OF USE TO YOU, PROVIDENCE’S COLLECTIVE AGGREGATE LIABILITY TO YOU OR ANY OTHER PARTY OR PARTIES CLAIMING WITH, UNDER, OR THROUGH YOU, FOR ANY AND ALL CLAIMS, WILL NOT EXCEED THE GREATER OF US $100. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SITES OR SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR FROM THE DATE THE CLAIM OR CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Some jurisdictions do not allow limitations on certain damages; in such case our liability is limited to the maximum extent allowed by law.

11. Dispute resolution

PLEASE READ THIS SECTION CAREFULLY. YOU AND PROVIDENCE ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

All matters relating to these Terms of Use or the Sites or Services, and any dispute or claim between you and Providence arising out of or related to these Terms of Use or the Sites or Services (in each case, including non-contractual disputes or claims) (each, a “Dispute”), shall be governed by and construed in accordance with the internal laws of the State of Washington and applicable federal law, without giving effect to any choice or conflict of law provision or rule (whether of the State of Washington or any other jurisdiction), except as provided below with respect to the Federal Arbitration Act.

If you have any Dispute against Providence you agree to first try to resolve such Dispute informally and in good faith by contacting us and providing us with the following information in writing to the address listed in Section 14: fair notice of your identity, a description of the nature and basis of your Dispute, and the relief you are seeking, including the specific amount of any monetary relief you are seeking (if any). Such information cannot be combined with any information applicable to any other of your Disputes or Disputes of any other parties.  You agree to work in good faith with Providence to resolve such Dispute for sixty (60) days following receipt of the applicable information. If a party’s Dispute is not resolved within such sixty (60) day period, only then may you or we may commence arbitration proceedings in accordance with this Section. Before commencing any arbitration proceedings as described in these Terms of Use, a party must first send to the other a written notice of their intent to file an arbitration (“Arbitration Notice”). Your Arbitration Notice to us must be sent to our address provided in Section 14. We may provide the Arbitration Notice to you using any contact information you have provided to us, including through your use of the Sites or Services. Neither party shall initiate arbitration until the escalation process set forth in this paragraph is complete and until they have provided an Arbitration Notice to the other party. This agreement to arbitrate shall apply to all Disputes, including those that arose or were asserted before the effective date of these Terms of Use provided in the “Last Updated” date below, unless you have expressly opted-out of any update in accordance with this Section 11.

You hereby agree that, except as provided in this Section 11 below, any Dispute between you and Providence, whether brought by you or by us, arising out of or relating in any way to these Terms of Use or your use of or access to the Sites or Services must be resolved through final, binding and confidential arbitration located in Seattle, Washington, USA, or through such other means as the parties may mutually agree.  If you are an individual, you may choose to conduct the arbitration in your county of residence or by videoconference.

The arbitration will be administered by JAMS or its successor (“JAMS”) in accordance with the then-current Streamlined Arbitration Rules and Procedures for commercial contracts except to the extent this Section conflicts with those rules, and, if you are an individual, in accordance with JAMS’ Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards of Procedural Fairness (collectively, the “JAMS Rules”). The parties will mutually agree on an arbitrator, provided that if the parties cannot agree on an arbitrator within ten (10) days, JAMS will choose the arbitrator. In rendering an award, the arbitrator shall apply the governing law stated in this Section 11, except that the Federal Arbitration Act will govern the interpretation and enforcement of this Section.

Unless you are an individual and opt-out of arbitration as set forth below, and except with respect to the class arbitration waiver as set forth in this Section below, the arbitrator, and not any federal, state or local court, will have exclusive authority to resolve any Dispute relating to interpretation, applicability, unconscionability, formation, arbitrability and/or enforceability of these arbitration provisions, including any challenge that the arbitration provisions or these Terms of Use are void, voidable or otherwise invalid. There is no judge or jury in arbitration, the arbitration will be subject to different rules than the rules that would apply in court, and court review of arbitration awards is very limited. However, the arbitrator will be empowered to grant whatever relief would be available in court under law or in equity (including injunctive and declaratory relief and statutory damages) and must follow these Terms of Use, as a court would. Any award of the arbitrator(s) will be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction.

You agree that an arbitration will be conducted on an individual, and not a class-wide, basis. An arbitrator will have no authority to certify a class or award class-wide relief. The arbitrator is authorized only to award relief on behalf of the individual parties and only to their extent of their individual claims or Disputes. YOU ACKNOWLEDGE AND AGREE THAT UNLESS OTHERWISE AGREED IN WRITING BY YOU AND PROVIDENCE, WITH REGARD TO ANY CLAIMS OR DISPUTES HEREUNDER, YOU WILL NOT BE ENTITLED TO SEEK TO, AND AN ARBITRATOR OR COURT MAY NOT, JOIN OR CONSOLIDATE YOUR CLAIMS OR DISPUTES WITH ANY OTHER SIMILAR CLAIMS OR DISPUTES OF ANY OTHER PERSON OR PARTICIPATE IN ANY CLAIM OR DISPUTE AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction..

If you are an individual, you can opt out of these arbitration provisions within thirty (30) days of the date that you first agreed to these Terms of Use or to any subsequent revisions to this Section. If you opt out of a subsequent revision, you will remain bound by the prior version of this Section unless you previously opted out of that version. To opt out, you must send your name, address, username, email address and phone number, and a clear statement that you want to opt out of this arbitration agreement using the contact information in Section 14.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be resolved exclusively (except as provided in this Section 11 below) in the appropriate state and federal courts located in Seattle, Washington. Both parties hereby unconditionally and irrevocably consent to the venue and jurisdiction of such courts, and waive all defenses, including lack of personal jurisdiction, improper venue or inconvenience of the forum, with respect to such courts for the adjudication of such Disputes.

Notwithstanding anything else in this Section 11 to the contrary, the following claims may be brought in any court of competent jurisdiction: claims to the extent alleging efforts to interfere with the Sites or Services or engage with the Sites or Services in an unauthorized manner or for violation of any intellectual property or proprietary rights. Moreover, either you or Providence may choose to bring a claim in, or move a claim to, small claims court, if the claim is within the jurisdiction of that court, without resorting to arbitration.  In addition, either you or Providence have the option to bring claims in court to seek temporary or preliminary injunctive relief without seeking damages, in any court of competent jurisdiction.  Further, you acknowledge and agree that your actual or alleged breach of Sections 2, 3 or 7 will cause irreparable injury to Providence for which monetary damages would not be an adequate remedy.  Accordingly, Providence is entitled to seek specific performance or other injunctive or equitable relief, without any obligation to post any bond, in any court with competent jurisdiction, to limit, remedy or mitigate the effects of any such breach.  Our rights under this Section are in addition to and not in lieu of any other remedy available to us under these Terms of Use, at law or in equity.

12. Waiver and Severability

No waiver by Providence of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Providence to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

13. Entire Agreement

These Terms of Use constitute the sole and entire agreement between you and Providence regarding the Providence Sites and Services (though additional terms and conditions may be applicable for certain features or services) and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Providence Sites and Services.

14. Contact information

All legal notices to us must be in writing and must reference these Terms of Use. We may provide notice to you using the information you provided to us, including by email. Service of such notice will be deemed given on the date delivered by email or on the date of delivery via courier providing confirmation of delivery.
